These Terms of Use are current at the date indicated above. We update our Terms of Use from time to time and therefore, we recommend that users, as defined below, check for any changes since the last time you used the services made available through the Oklute.com Site (hereinafter the "Service" and "Site").

Please note that the Site only provides a platform to users as provided by SOFTELL LIMITED, 42a Riverside workshops, Pipe House Wharf, Morfa Road, The Strand, SA1 2EN, Swansea, UK, Registration Number: 01726537

Users of the Site (collectively “Users”) comprise Offeror Users and Recipient Users, as defined below.

Offeror Users create content displayed on the Site and are entitled to upload advertisements and create profiles in accordance with the paid service terms below (Paid Services).

Recipient Users have access to content placed by Offeror Users and are given the opportunity to contact Offeror Users via the contact information uploaded by such Offeror Users.

Users are advised that continuing to browse the Site signifies their consent to the Terms of Use current at the time when visiting the Site and that if you do not wish to be bound by the Terms of Use you should close the Site and cease to use the Service.

Our use of your personal data is governed by our Privacy Policy which also sets out our use of cookies and similar technology. We only gather the minimum personal data which is necessary for us to provide the Service in accordance with these Terms of Use, to comply with legal obligations on us, and to fulfil our legitimate interests with respect to improving the Service, extending the geographic coverage of the Service and promoting the safety and well-being of our Users.

If you want to become an Offeror User, you will not be allowed to create a profile or place an advertisement unless you first confirm you accept, at the time of placing that advertisement or creating that profile, these Terms of Use including the Acceptable Use Policy and the below Guidelines.

It is worth noting that this Site is aimed solely at adults (over 18 in the UK) and by using the Site you represent that you are over 18 and, in the case of Offeror Users, that they are not offering any services through the Site which contravene local law in the User's jurisdiction. There is more detail about this below.

We do not exercise editorial control over, or pre-vet, advertisements placed with us or User profiles created on the Site, although we will take down any advertisements, profiles or other User added content which:

these Terms of Use; or

• contain any malware or any other material that may interfere with, or degrade the proper operation of the Site; or
• we deem in our absolute discretion prejudicial to the proper operation of the Service; or
• we deem is, or may be a breach of any applicable criminal laws or regulations applicable to us; or
• constitute or may constitute harassment or bullying of any other User or other third party; or
• are threatening, abusive or discriminatory; or
• in our sole discretion, have caused, or are likely to cause, damage to the Company, or detriment to its reputation.
• we deem are, or may include or depict:
  • underage content (including child pornography, child abuse material and/or child exploitation material), including any sexualised content including or describing persons under 18 years of age; or
  • any material that promotes, depicts, facilitates or in any way incites the use of violence, threats, coercion, abuse of power, or any other means to recruit, abduct, transport, harbour, or receive, a person for the purpose of exploitation, including human trafficking.

Two (2) email addresses ([email protected] and [email protected]) have been created to allow Users to notify us of advertisements or other content that they think violate these Terms of Use and that, in their opinion contain: a) underage content; or b) have not been posted by or with the consent of the person appearing in them; or c) are otherwise illegal by local law within their jurisdiction. We will take the appropriate action including reviewing all advertisements that are reported to us and at our absolute discretion we will: a) sustain the complaint and remove the advertisement, or b) require the Offeror User that placed the advertisement to supply additional material supporting the age verification of the User; or c) sustain the User's right to place the advertisement as the case may be and reject the complaint.

The sections titled "Acceptable Use Policy" and "Guidelines" outline more specifically material that is considered to violate these Terms of Use, although it is ultimately for Users each time, to determine what laws apply to any materials they contribute to the Site and whether such material is in compliance with either the Terms of Use or the local laws in their jurisdiction.

We will reserve the right to suspend Users for serious or repeated breaches to these Terms of Use. We also reserve the right to delete content uploaded by the User which breach these Terms of Use, and take legal action against the User where appropriate in response to such breach. If we do take down any advertisement or suspend the User, we will not be responsible in any circumstance for any loss, claims, damages or expenses whatsoever arising from the taking down of advertisements or suspension of Users and no refunds will be made of any moneys paid to us.

By uploading advertisements on the Site, the Offeror User consents to us processing of his/her personal data (including special categories of personal data) for the purpose of publishing the advertisement on the Site, for the purpose set out in our Privacy Policy.

User Obligations and Behaviour

The Service is an adult only service and by using the Service, Users represent and warrant that they are 18 or over. Any use of the Site by anyone under 18 or, if seeking to use the Site or become a User, a misrepresentation by someone under 18 when it is manifestly clear that they MUST be 18 or over, or any circumvention of any age verification activity we undertake will be a breach of these Terms of Use. If we have a reason to suspect a User is under 18 we have the right to terminate or suspend the User, immediately, with no prior notice.

Some parts of the Site (including use of the Service) may require an account in order to access. When creating an account Users must provide accurate and complete information. Users where any information changes thereafter must keep their account current and it is the User's responsibility to do so. Users must not use anyone else's account.

As previously stated, Recipient Users should recognize that we have not pre-approved the content of any online ads made by Offeror Users. The Site is not any type of intermediary or agent for any Users and bears no responsibility whatsoever for any risks or claims or liability arising from any subsequent supply of services, or other connection between any Offeror User(s) and any Recipient User(s).

By using the Service, all Users fully and solely assume all responsibility for their conduct toward the Site and toward third parties, including but not limited to other Users.

We are not responsible for, nor do we guarantee, the accuracy or completeness of any content of any Offeror User advertisements, nor do we guarantee a successful difference or other negotiated outcomes between any Offeror User(s) and any Recipient User(s).

Viruses, Malware, and Security

We exercise reasonable skill and care to ensure that the Site is safe and secure and free of viruses and other malware. All Users are responsible for protecting their own hardware, software, data and other materials from viruses, malware and other internet security threats.

All Users must not intentionally introduce viruses, or other malware, or any other material that is malicious or technologically harmful, to or via the Site.

All Users shall not make any attempt to gain unauthorized access to any part of the Site, the server on which the Site is stored, or any other server, computer or database connected to the Site.

By violating the provisions above the User may be committing a criminal offense under the Computer Misuse Act 1990 , UK. Any such violation shall be reported to the appropriate law enforcement authorities, and we will fully cooperate with the authority (which may include divulging the User's identity to them). The User's license to site shall be revoked immediately in the event of any such violation without providing any notice to the User of said violation.

Limitation of Liability

Nothing in these Terms of Use is intended to limit or exclude any liability of any party for death or personal injury resulting from that person’s or any person for whom that person is responsible for negligence, or for fraud, or for any other liability which cannot lawfully be limited or excluded.

To the fullest extent permitted by law, the Site administrator and its affiliates, and the Company, or their affiliates, agents, employees, officers or directors shall not be liable for:

• any loss or damage to the extent it arises from circumstances beyond their reasonable control;
• any loss or damage attributable to any disruption to or unavailability of the Site or the Service;
• any loss of profit, business, reputation or anticipated savings or turnover, whether direct or indirect;
• any loss or corruption of data;
• any indirect, punitive, statutory or otherwise non-refund claim on the basis of applicable laws, representations or warranties, whether implied or otherwise;

even if we were advised of the possibility of such damages.

The liability of the Site administrator and any affiliated entities and the Company or their affiliates, managers, employees, officers or directors to all Users for any other loss and damage whether arising in contract, tort, breach of legal obligations or otherwise, arising from or connected to the Site and/or the Service shall, without limitation to the Refunds Policy set out below in relation to Paid Services, be limited to an amount equal to the higher of the amounts paid by any User in the twelve months immediately preceding the event giving rise to the claim or GBP 500 and in relation to any other Services GBP 150.

We do not assume any responsibility or liability arising from or related to a disruption or non-availability of the Site due to external causes including but not limited to; ISP equipment failure, communication network failure or other force majeure events.

Each of the above provisions and sub- provisions are separate and distinct provisions, and a finding of nullity or unenforceability in respect of one of the provisions or sub-provisions shall not in any way affect the enforceability of any of the other provisions which shall remain in full force and effect.

Paid Services: Offeror Users

By publishing an advertisement on the Site (including creating an online profile), each Offeror User is authorizing us to promote it for greater visibility, at our discretion and to operate the Service to provide maximum effectiveness in the relevant geographical markets. By creating an online profile or placing an advertisement on the Site, Offeror Users are confirming they are of legal age in the relevant jurisdiction, that they are the individual identified in that profile and furthermore that they have not been coerced in any way to offer services.

Offeror Users recognize that we accept payment for the Paid Services through our payment service provider, who governs transactions between Offeror Users. We are not liable for the acts, omissions or defaults of the payment service provider. If you breach these Offeror User terms, we reserve the right to remove the advertisement without any obligation to provide a refund, to remove any applicable profile and to ban the Users in breach of these Terms from creating any profiles or placing any further advertisements on the Site in the future.

If our payment provider receives any request for refunds from a financial institution or platform regarding any financial amount spent on purchases for Paid Services, we reserve the right to block the Offeror User's Profile upon receipt of any request for refunds until we receive notice from the payment provider that the request has been completely resolved to the satisfaction of the payment provider and/or financial institution or platform.

Please be advised that the Company shall not intervene in the negotiation being between the Users.

Age Verification Procedure

The Company may verify the minimum age of Offeror Users for the publication of ads. This could be through automated means, through an external service provided by a third party, or through manual means if automation is unsuitable, but in any circumstance in which we require manual or external verification, Offeror Users will be asked for an identity document. All personal information collected by the Company to verify identity information and minimum age will be processed by our Privacy Policy. For ID verification, the Company uses the third-party service Yoti Limited, (6th Floor, 107 Leadenhall St, London, EC3A 4AF, United Kingdom) is a data processor for the Company - who acts only to extract identity information from the ID uploaded by the Offeror User and to verify that selfie provided was consistent with the ID photo. As noted in our Privacy Policy, the ID you provided will only be used and retained solely to verify your age (minimum age) and identity.

Acceptable Use Policy

Users agree not to use the Service offered by the Site improperly or contrary to the terms of the law, the ethics and good behaviour rules of network services (netiquette). Users in particular agree not to transmit through the Site materials that are illegal, offensive and libellous, discriminatory, harassing, defamatory, pornographic, paedophile, vulgar, blasphemous or that are in some manner contrary to public order and good morals.

Offeror Users are responsible for complying with any and all applicable laws with respect to the content of their advertisement. In particular, Users are not advertising any services which it would be unlawful to perform within their jurisdiction and they are not including any material which infringes applicable criminal law or using the Site, or permitting any third party to use the Site through their account, for any unlawful, fraudulent purpose.

Users warrant that they are the data subjects in any advertisement, or that they have the explicit and informed consent of all persons whose personal data may also be included in any advertisement they may place, and that they will not use in their advertisements any material that infringes copyright or other intellectual property rights of any third person without having the permission of that third person.

It is a serious breach of local privacy law and a breach of these Terms of Use to place or include advertisements purportedly from someone or including the data of someone without consent for those advertisements to be placed. This could result in accounts being closed, and Offeror Users deemed responsible for their ads being banned from the Site.

Offeror Users acknowledge that the Site has no control over any materials or personal information or data sent to an email address included in the advertisements, hosted on the Site, whether sent as a response to that advertisement, or unsolicited by other Users, and irrespective of if that information or data is sent by third parties.

Guidelines

Offeror Users are specifically drawn to the following Guidelines. For clarity, we offer this summary as a convenience, and I should not be taken an offer of legal advice as to when material is lawful to include in advertisements and profiles.

1. We do not permit nudity, visible genitals, pornography, or any imagery meant to induce sexual arousal. This is whether real or synthetic media, however conveyed. Materials not permitted include without limitation:
   1. Images of the act of sexual intercourse, sufficiently realistic whether real or simulated
   2. Fetish content of a strong or extreme nature, but not limited to the ability to elicit sexual arousal through non-normal sexualized themes.
   3. Any sexually explicit content, including sexually suggestive poses and depictions and/or material that could have normal meaning construed as pornographic or for sexual stimulation.
   This policy concerns all types of content, including but not limited to pictures, pictures from photoshop or similar, animations, AI imagery, CGI imagery, virtual representations, or cartoons.
2.  Only 3 free ads a week (Monday through Sunday), from a single account can be posted unless the ads are promoted with some paid product and this limit would not apply.
3. It is not allowed to have hypertext links in any advertisement or a profile.
4. It is not acceptable to post advertisements requesting money or services for sexual performance.
5. It is not allowed to post any content or advertisements related to the sale of medications, drugs, weapons and/or offensive implements.
6. It is not acceptable to post advertisements of any kind for any content that does not relate to the subject matter for the site.
7. It is not allowed to post advertisements in any foreign language or in any case in any language other than English.
8. No material advocating, depicting or promoting suicide or self-harm is accepted;
9. No material contrary to the rules on "extreme pornography" including erotic material depicting acts which appear to be non-consensual, which appears to involve animals, which appears to involve sexual acts with dead bodies, or which depicts acts which appear to threaten a person's life or acts which result, or are likely to result, in serious injury to a person's anus, breasts or genitals are accepted;
10. No material which uses erotic material without each participant's consent provided on private occasions ("revenge porn") is accepted;
11. No material portraying, promoting, implying, inducing or offering sexual activity with or by minors, child pornography, child abuse material and/or child exploitation material, any sexualised content depicting or describing persons appearing under 18 years of age, or which otherwise promotes, portrays, implies or encourages paedophilia ("paedopornographic material") is accepted - and this includes any virtual (including photoshopped), animated, computer-generated, or cartoon depictions;
12. No material depicting, or purporting to depict, third parties who do not, or, did not consent to such use or distribution is accepted;
13. Any matter that promotes or represents either violence, threats, coercion, abuse of power, or anything else to recruit, abduction, transport, harboring or receiving a person for exploitation (trafficking).
14. By posting an advertisements or profiles, Users are to confirm and declare that they have the full legal right to do so, and also to declare and warrant that any material uploaded relate to persons who are legal age (over 18 in UK) who have provide free and continuous consent for the material be publish on the Site for adult dating, and who are not being coerced in any way to participate;
15. It is not permitted to publish libellous and/or defamatory content;
16. Offeror Users may not upload, post, display or publish materials which is hate speech, discriminatory, threatening or harassing, or which incite or promote violence, or which would be a criminal offence under child sexual exploitation, terrorism or offences related to racism or xenophobia. For these purposes, "hate speech" means material directed at a group or person based on their race, ethnicity, national origin, immigration status, caste, religion, sex, gender identity or expression, sexual orientation, age, disability or other protected characteristic and the material is intended to or has the effect of or is likely to have the effect of inciting discrimination, hatred, fear of, or violence against that group or individual.
    The following are non-exhaustive examples of behavior or material that can be found to be threatening or harassing:
    1. is or appears to be targeted at a specific individual or group of individuals and is offensive, derogatory, or harassing;
    2. is used or appears to be intended to be used to obtain money or some other advantage from anyone else in return for removal of the content;
    3. contains unsolicited sexual content or unsolicited words that sexually objectify another User or anyone else in a non-consensual manner;
    4. disseminate or are intended to disseminate online personal and private identifiable information (such as full name, address, telephone number, etc.) or other data concerning a person (doxing) or otherwise identify a User or other third party or contains information that could be used for the same purpose, such as employer details, telephone numbers, financial account details, location data, names, identification documents, email addresses, log-in credentials or any other personal identifiable information without that person's express written consent.
17. Users must not use the Site to promote illegal trading, Ponzi or pyramid schemes; to engage in misleading or deceptive conduct; to act in a way likely to mislead or deceive any other User or imply, contrary to fact, that any person or organisation endorses that User or their content or that they are acting as a brand ambassador or representative of any person or organisation.

Should any advertisement or profile include any paedopornographic material, we will immediately report it to the relevant Authorities including all access and meta data. We also reserve the right to report material that is outside our guidelines of extreme pornography or revenge pornography.

Intellectual Property Rights

The Company or its third-party licensors own all copyright and other intellectual property (IP) rights in the structure of the Site itself, or in any Site contents, with the only exception being any Users’ original content or materials uploaded via their account or profile. Please note that all IP laws in the United Kingdom, and international treaties applicable thereto, shall apply to the Site and its contents (including Users’ material).

You cannot reproduce, copy, distribute, sell, rent, sub-licence, store, or otherwise re-use content from the Site unless we have given express written permission to do so.

Reports of infringement of intellectual property rights or abuse of images or data (e.g. telephone, e-mail, names and addresses) may be sent to [email protected]. For reports of content that is illegal or abusive please e-mail [email protected]

For images uploaded of the content posted on the Site will have our logo and the words "posted on" added to it.

Changes to the Site

We reserve the right to intervene via the Site or make any changes or modifications (e.g. design, focus and/or content functionally) therein for any reason without prior notification or to suspend an Offeror User's access to the Site for maintenance or technical or other reasons for a time period necessary without prior notification. In an event; No Offeror User is entitled to claim any compensation or refund under this policy based on that modification, changes or non-availability.

Refunds Policy

Except where a refund is explicitly offered by the law, we do not offer any refunds to Offeror Users of the amounts paid for the Paid Services provided, although we might exceptionally and at our sole discretion offer credits (redeemable only on the Site) in the amount of the sums potentially paid and unused for subsequent Paid Services. If the Offeror User has breached their obligations under these Terms and Conditions, they will be entitled to neither a refund nor credit.

Governing Law and Jurisdiction

These Terms of Use are governed by and interpreted in accordance with but not limited to, the laws of England, and will be subject to the exclusive jurisdiction of the Courts of England and Wales.

If the User is a consumer then, any and all disputes in respect of these Terms of Use, the relationship between the User and the administrator and/or the Company, or any matter arising from or in any way connected with their use (whether contractual, tortious, etc) shall be heard at the mediation or local court in England, Wales, Scotland, or Northern Ireland, as determined by the location of the User's residence.
